We offer two things. Agent Setup is a one-time job: we set up your agents — one on your own server, one on your computer — hand you the keys, and walk away. Managed Agent Service is ongoing: we build your agent, run it on infrastructure we operate, and keep improving it for a monthly fee.
Either way, the agent works for you, under your authority, using your accounts. You're responsible for what it does. AI is imperfect and we're not liable for its output or for outages we don't control. By paying, you agree to these terms.
These terms apply to every Sidecar SMB service.
Sidecar SMB is a brand of Faith, Hope & Love Creative, LLC, a Georgia limited liability company ("Sidecar SMB," "we," "us," "our"). Sidecar SMB offers two services:
Any obligation described in these terms is an obligation of Faith, Hope & Love Creative, LLC.
You agree to these terms when you purchase or subscribe to a service, or when you accept them at checkout. If more than one document governs your purchase, they apply in this order:

Across both services, you are responsible for:
AI technology is powerful but imperfect. By using either service, you acknowledge that:
We strongly recommend: starting with limited or read-only access to sensitive accounts, reviewing outbound communications before your agent sends them, and never sharing passwords or sensitive credentials directly in chat.
Approval boundaries and monitoring lower these risks. They do not remove them.
You may not use your agent, or ask us to build workflows, for anything that:
We may decline to build a workflow we believe falls outside this section, and we will tell you why.
Your agent depends on services we do not control — AI model providers, messaging platforms, hosting and infrastructure providers, and whatever software you connect. Those services have their own terms, pricing, availability, and privacy practices, and you are bound by them for the accounts held in your name.
We are not responsible for a third party's outage, price change, policy change, account suspension, or discontinuation of a feature your workflows relied on. If a third-party change breaks something, we'll help you adapt as described in the applicable Schedule.
Except where a Schedule says otherwise, our services and anything we build for you are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that your agent will be error-free, uninterrupted, continuously available, or that its output will be accurate or suitable for any particular decision.
To the maximum extent permitted by law, Faith, Hope & Love Creative, LLC is not liable for any damages, losses, or consequences arising from:
We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, even if we were advised such damages were possible.
Our total cumulative liability for all claims relating to a service is capped at the amount stated in the applicable Schedule (Section A6 or Section B11).
Nothing in these terms limits liability that cannot be limited under Georgia law, including liability for fraud or willful misconduct.
You agree to indemnify and hold harmless Faith, Hope & Love Creative, LLC from any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising from your use of the service, actions taken by your agent, content or data you provided, your breach of Section 5 (Acceptable Use), or your violation of a third party's rights or terms.
You may terminate as described in the applicable Schedule. For the Managed Agent Service, that means cancelling your subscription (Section B7).
We may suspend or terminate a service, with notice to you, if:
We may suspend immediately, without advance notice, where a delay would create serious risk of harm — such as an active security incident. We will tell you as soon as we reasonably can.
Sections 3 through 9, and 11 through 15, survive termination.
We treat your business information, data, and credentials as confidential. We access them only as needed to deliver the service you purchased.
We do not sell your data, and we do not use it to train AI models. Note that AI model providers you hold accounts with have their own data policies, which govern the content your agent sends to them.
Service-specific data handling, retention, and deletion terms are in the applicable Schedule (Section A7 or Section B9).
We do not collect analytics, telemetry, or usage data from your agent beyond what is needed to operate and support the service you purchased.
Neither of us is liable for failing to perform because of events outside our reasonable control — including natural disasters, war, civil unrest, labor disruptions, government action, internet or utility failures, and outages or discontinuations at third-party providers we depend on.
These terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules.
Any dispute arising out of or relating to these terms or the services will be brought exclusively in the state or federal courts located in Athens-Clarke County, Georgia, and both of us consent to the personal jurisdiction of those courts.
Before filing anything, we each agree to make a good-faith effort to resolve the dispute directly — starting with written notice and 30 days to work it out.
Any claim arising out of or relating to these terms or the services must be brought within one year of the event giving rise to it. A claim brought after that period is permanently barred, to the fullest extent permitted by law.
One-time purchases (Schedule A): the version of these terms in effect on the date of your purchase is the version that applies to you. We will not retroactively change terms for a completed purchase. Prior versions: April 17, 2026.
Subscriptions (Schedule B): we may update these terms at any time. Updates take effect when we post them on this page, and the "Last updated" date at the top tells you when that was. We are not obligated to notify you individually. Continuing to use the service after an update means you accept it.
Price increases are the exception. We will not raise the price of an active subscription without giving you at least 30 days' notice by email. If you don't want to pay the new price, cancel before it takes effect and you will never be charged it.
Applies if you purchased the one-time Agent Setup. You own the server; we set it up and hand it off.
Agent Setup is a one-time service. For the setup fee, you receive:
Third-party integrations (email, calendar, CRM, and the like) are not part of the setup. We can advise on how to configure them; implementation is yours.
After setup, you own and control everything:
We do not retain access to your server. During and after setup, your server credentials belong solely to you. There is no ongoing subscription to us and no vendor lock-in.
In addition to Section 3, once setup is complete you are solely responsible for:
We are not liable for unauthorized access, data breaches, or security incidents on your server after handoff.
Our total cumulative liability for any and all claims related to Agent Setup is limited to the setup fee you paid.
During setup, we may have temporary access to your server and connected accounts. We will:
We do not collect analytics, telemetry, or usage data from your agent after setup.
Applies if you subscribed to the Managed Agent Service. We build your agent, run it on infrastructure we operate, and keep improving it.
The Managed Agent Service is an ongoing subscription. It has two phases:
Not included: your AI subscription and your software accounts. Those stay in your name, on your card.
Unlike Agent Setup, the Managed Agent Service runs on infrastructure we operate on your behalf. We hold administrative access to that runtime for as long as your subscription is active — that access is what the service consists of.
You own:
We own the underlying tooling, templates, and general methods we use to build and operate agents, including anything we developed before or independently of your engagement. Nothing here grants you a license to those beyond your use of the service.
On cancellation, we will export your agent's configuration and data to you on request, as described in Section B9.
Your subscription covers one named agent running in one isolated runtime. Additional agents or additional runtimes are a separate subscription, priced as shown at checkout.
Building additional workflows for your agent is included in your monthly fee. This is a do-it-alongside-you service: as you find more work worth handing off, add it to your board and we build it with you, not as a change order.
Included work is subject to reasonable capacity. The monthly fee covers the ongoing, iterative workflow-building described above. It does not cover work that is materially different in kind or scale — for example, custom software development, large data migrations, work requiring third-party licenses or paid services, or a volume of requests that in practice amounts to full-time development.
If a request falls outside what's included, we will tell you before doing the work and either quote it separately or propose a smaller version that fits. We will never bill you for out-of-scope work you didn't approve in advance.
Your agent is designed to run continuously, and we monitor it. We do not offer a guaranteed uptime commitment or service level agreement.
The runtime depends on a third-party infrastructure provider. If that provider has an outage, we cannot restore service until they do. We also may take the service down briefly for maintenance, updates, or migrations, and will give you advance notice where practical.
We commit to commercially reasonable efforts to keep your agent running and to restore it promptly when something breaks. We are not liable for downtime, whether ours or a provider's, or for any loss resulting from it.
In addition to Section 3, while subscribed you are responsible for:
To run your agent, we store your business context, working memory, workflow definitions, and the credentials you've granted, on infrastructure we operate. We access this only as needed to build, run, support, and improve your agent.
Backups are included in your monthly fee. They cover the agent itself:
If your agent's environment fails or its configuration is damaged, we can restore it from these.
Our backups restore your agent. They do not restore your own systems. The accounts your agent connects to — your email, storage, CRM, calendar, files, and any other third-party software — are yours, and backing them up remains your responsibility under Section 3.
We do not sell your data and we do not use it to train AI models.
Your agent runs in its own isolated environment, not shared with other clients. Data is encrypted in transit, access to production systems is restricted to the people who maintain them, monitoring runs continuously, and backups run on a schedule and are kept separately from the live runtime. No system is 100% secure.
The underlying infrastructure is operated by a third-party provider that runs its own continuously monitored security program covering infrastructure access, encryption, vulnerability monitoring, disaster recovery, and data retention. We can share details on request. We do not hold, and do not claim, any security certification of our own.
Credentials for your connected services are granted by you, scoped to the work being done, and revocable by you at any time.
If we become aware of a security incident affecting your data, we will notify you without undue delay and tell you what we know.
Our total cumulative liability for any and all claims related to the Managed Agent Service is limited to the total amount you paid us in the three months preceding the claim.
